What is an M&A data room?
An M&A data room (or virtual data room, VDR) is the secure space where due diligence happens: the seller prepares the file privately, then opens to each buyer exactly what concerns them, while keeping a record of everything.
What it is for
Separate internal work from controlled distribution.
In a sale as in a fundraising, the file lives on the seller side long before it is shown. A deal data room exists precisely to distinguish two moments: prepare, then publish. A shared drive conflates them and rests confidentiality on everyone's discipline. A VDR makes publishing an explicit decision, audience by audience.
The phases
From preparation to closing.
- Preparation
- On the seller side, the team gathers the files, fixes versions, completes the checklist and organises audiences. Nothing is visible until the file is ready.
- Due diligence
- Prospective buyers review, within siloed perimeters, the documents published for their group. Questions and answers are logged.
- Closing
- The data room is frozen, a numbered index captures the state of the file, and the audit log of views remains usable as proof of the process.
What a good data room guarantees

- Controlled publishing
- An internal document does not become public because it was uploaded, but because a person verified and published it for a specific audience.
- Siloed audiences
- Each buyer sees only what is meant for them. A preview shows exactly what a person will see before opening.
- Traceability
- Recorded views and downloads are logged and exportable; the closing index numbers the documents.
- Confidentiality
- Watermark on supported formats, hosting in the European Union, and no deal file sent to an external AI.
